These terms apply when you use TODO: https://www.your-domain.com (the "website") and when you buy services from us. Please read them together with our privacy policy and our refund and cancellation policy.
Who we are
This website and our services are provided by TODO: SideSwipe Technologies Private Limited (exactly as on the certificate of incorporation) (CIN: TODO: Corporate Identification Number (21 characters)), with its registered office at TODO: Address line 1, TODO: City, TODO: State TODO: PIN code, India. In these terms, "SideSwipe Technologies", "we", "us" and "our" mean TODO: SideSwipe Technologies Private Limited (exactly as on the certificate of incorporation). "You" means the person or business using the website or our services.
We build websites, online stores, mobile apps and custom software. We also provide UI/UX and graphic design, cloud and server setup, server management, maintenance, integrations, automation and AI features, and we manage SEO, social media and Google and Meta advertising.
Using this website
You may use the website to learn about our services, try the estimate builder and contact us. When you do, please don't:
- send spam or automated submissions, or try to get around our spam protection
- try to break, overload or gain unauthorised access to the website or our server
- upload files that contain malware, or that you don't have the right to share
- submit someone else's personal details without their permission, or information you know is false
The website's text, design, graphics and code belong to us or are used under licence. You may view them and share links to them, but you may not copy or reuse them for commercial purposes without our written permission. Other companies' names and trade marks belong to their owners.
We work to keep the website accurate and available, but it is provided "as is". Prices, service descriptions and other information on it are general information that may change. They are not an offer to enter into a contract.
Estimates from the estimate builder
The estimate builder gives you a quick, automatic idea of cost based on your answers. Every estimate it gives:
- is a non-binding indication, not an offer, a final quote or a contract
- is valid for 15 days from the date it is generated
- excludes GST, which is added where it applies
- excludes third-party costs (see Third-party costs)
Your actual price is set out in a written proposal once we understand your requirements. It may be higher or lower than the estimate.
Estimates based on a competitor quote
If you upload a written quote from another provider, the estimate builder aims to give you an estimate 20% to 25% below that quote for the same scope. This is always subject to:
- our verifying that the quote is genuine
- our confirming that the scope is comparable, for example the same features, timeline and support
- our minimum price for that scope, which we won't go below
- our discretion, which means we may adjust or decline a competitor-based estimate
Everything in the previous section also applies to these estimates. Please only upload documents you have the right to share.
Proposals and agreements
Every project and every monthly plan is governed by a separate written proposal or agreement. It sets out the scope, deliverables, timeline, price and payment schedule. If anything in your proposal or agreement conflicts with these terms, the proposal or agreement applies.
Work starts once you have accepted the proposal in writing and made any advance payment it requires. If you want to change the agreed scope, we will quote the change and agree it with you before we work on it, including any effect on the price and timeline.
Payments
- Projects are paid in milestones, as set out in your proposal.
- Monthly plans (retainers), such as server management, maintenance, SEO, social media and ads management, are paid monthly in advance.
- Small one-off jobs are paid on completion, unless the quote says otherwise.
Prices are in Indian rupees and exclude GST unless stated otherwise. GST is added where it applies. Invoices are due by the date shown on them.
Cancellations and refunds are covered by our refund and cancellation policy.
Third-party costs
Unless your proposal says otherwise, our fees don't include third-party costs. These are yours to pay, and include:
- hosting, servers and cloud services
- domain names
- software licences and plugins
- app store fees, such as Apple and Google developer accounts
- stock images, fonts and other licensed assets
- advertising spend, which you pay directly to Google, Meta or other platforms
Where possible, we set up these accounts in your name. Third-party services are governed by their own terms. We can help you work with them, but we don't control their prices, availability or decisions, such as an ad platform rejecting an ad or an app store rejecting an app.
Intellectual property
When you have paid in full for a piece of work, ownership of the final deliverables we created specifically for you, such as designs, code and content, passes to you. Until then, it stays with us.
This doesn't include:
- tools, code, templates and methods we already had or developed for general use. Where these form part of your deliverables, you may use them as part of those deliverables.
- open-source components, which remain under their own licences
- stock assets such as images, fonts and icons, which are used under their providers' licence terms
Confidentiality
We keep confidential the business information, access details and data you share with us, and use them only for your work. If you would like a non-disclosure agreement (NDA) before you share the details of your project, ask us and we will sign one.
Support after launch
For project work, we fix bugs free of charge for 30 days after launch. A bug is something we built that doesn't work as agreed in your proposal.
This support doesn't cover new features, content changes, or problems caused by changes made by others, by third-party services, or by hosting we don't manage. After this period, support is available through a monthly maintenance plan or quoted separately.
SEO, social media and advertising
We use our knowledge and good practice to improve your results. But search engines, social networks and ad platforms control their own algorithms and policies, and results also depend on your market, competition and budget. So we cannot guarantee search rankings, traffic, followers, engagement, leads or sales. Any forecast we give is an estimate, not a promise.
Limitation of liability
We take care with our work. To the extent the law allows, our total liability for any claim relating to a service is limited to the fees you paid us for that service in the 3 months before the event that led to the claim.
Nothing in these terms limits any liability that cannot be limited under Indian law.
Governing law and disputes
These terms, and any dispute about them, the website or our services, are governed by the laws of India. If a problem comes up, please contact us first so we can try to resolve it. The courts at TODO: City, TODO: State have exclusive jurisdiction.
Changes to these terms
We may update these terms from time to time. The date at the top of this page shows when they last changed. Changes apply from the date they are published and don't alter a proposal or agreement you have already accepted.
